If the User does not agree to this Agreement, the User shall not, install, or use the Software. If the Software has already been installed, the User must immediately delete and remove it from their device.
Minor users shall obtain the consent of a parent or legal guardian before using this Software.

In this Agreement, the following terms shall have the meanings specified below:
- "Software" means the software program provided by the Company under the name "Grabyte Video All-in-One", including its main body, installer, related modules, updates, bug fixes, accompanying documentation, and related data.
- "License" means the right granted by the Company to the User to use the Software in accordance with this Agreement.
- "License Code" means registration codes, authentication credentials, and other similar information issued for the purpose of activating the commercial version of the Software.
- "Content" means videos, audio, subtitles, images, metadata, and any other data viewed, analyzed, cached through the Software.

Section 2: Grant of License
Subject to the User's compliance with this Agreement, the Company grants the User a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Software.
The User may install and use the Software on the designated number of devices within the scope and terms set forth in the purchased license plan, the purchase page, or the order confirmation email.
Individual licenses are provided solely for personal and non-commercial use by the User. If the Software is to be used by a corporate entity or for commercial purposes, the User must verify in advance whether the purchased plan permits enterprise/commercial use and obtain an appropriate commercial license from the Company as necessary.
The Software and License are licensed, not sold, pursuant to this Agreement. All rights not expressly granted herein are strictly reserved by the Company or its legitimate licensors.
Section 3: Free Trial Version
The Company may offer a free trial version of the Software to allow Users to evaluate its primary features and system requirements before purchase.
The free trial version may be subject to restrictions including, but not limited to, usage duration, maximum length of saved videos, number of processable content items, output scope, and functional limitations. Specific conditions indicated within the product, on the product page shall apply.
The User shall not circumvent or bypass the limitations of the free trial version through unauthorized means, such as creating multiple accounts, altering device identifiers, or performing repeated reinstallations. The Company does not guarantee the continuous availability of the free trial version, full functionality, or performance identical to the commercial version.
Section 4: License Types and Validity Period
The Software may be offered under monthly licenses, annual licenses, or other license plans prescribed by the Company.
Subscription-based licenses are subject to automatic renewal. Details regarding fees, billing schedules, renewal conditions, and cancellation procedures shall be governed by the terms displayed at the time of purchase and the "Subscription Terms of Service".
The terms set forth on the purchase page or order confirmation email shall prevail regarding the target product, number of permissible devices, supported operating systems, validity period, and other specific conditions.
Section 5: Activation and License Management
Use of the commercial version may require online authentication using an email address, License Code, account information, or device information.
The User shall appropriately manage their License Code and account credentials and shall not disclose, lease, share, transfer, or sell them to any third party.
In cases where re-authentication becomes necessary due to device replacement, OS reinstallation, hardware configuration changes, or other circumstances, the Company may request the submission of purchase details or information necessary for identity verification.
If unauthorized use, sharing of License Codes, activation exceeding the permitted number of devices, or any other violation is confirmed, the Company reserves the right to suspend or invalidate the license activation without prior notice.
Section 6: Use of Third-Party Services
The Software may include built-in browsers, players, URL analysis tools, and other features intended to facilitate viewing, searching, or interacting with Third-Party Services.
To use Third-Party Services, the User must personally hold a valid account, agreement, or authorization to access such services. Use of Third-Party Services shall be subject to the terms of service, privacy policies, regional restrictions, and other terms established by their respective operators.
Part or all of the Software's features may become unavailable due to circumstances beyond the Company's control, including changes in Third-Party Service specifications, access restrictions, modification of authentication methods, updates to content protection technologies, or service discontinuations.
The Company makes no guarantees regarding the continuous availability of Third-Party Services, accessibility of specific content, video quality, audio quality, subtitles, audio tracks, cache speed, or any other outcomes resulting from such use.
The display of third-party names, trademarks, or logos within the Software or on the Company's website does not constitute or imply any affiliation with, endorsement by, or recommendation from such third parties.
Section 7: Use of Content and User Responsibilities
The User shall strictly comply with applicable laws and regulations in the jurisdiction where the Software is used, the terms of service of Third-Party Services, and copyright and other intellectual property laws.
The User may use the Software solely in connection with Content that the User has lawful authority to access and use. The User assumes full responsibility for the use, management, backup, and disposal of any Content acquired or saved via the Software.
The User shall not sell, distribute, publicly transmit, upload, share, broadcast, lease, or commercially exploit saved Content without explicit permission from the rights holder or statutory authorization.
The Company assumes no obligation to verify the legal status, underlying rights, terms of use, or legality of use concerning individual Content accessed by the User. The technical capability of the Software to execute a specific processing task does not imply or grant legal authorization to the User to access or utilize such Content.
Section 8: Prohibited Actions
In using the Software, the User shall not engage in any of the following acts:
- Acts that violate laws, regulations, court orders, or contractual obligations owed to third parties;
- Acts that infringe upon copyrights, trademarks, privacy rights, or any other rights of third parties;
- Selling, reselling, leasing, sharing, distributing, assigning, or sublicensing License Codes, user accounts, or the Software to any third party;
- Using the Software on a number of devices exceeding the limit authorized by the purchased license;
- Reproducing, modifying, adapting, translating, or processing the Software in whole or in part, excluding backup creation explicitly permitted by this Agreement;
- Reverse engineering, decompiling, disassembling, or otherwise attempting to extract or analyze the source code of the Software, except to the extent expressly permitted by applicable law;

Section 9: Intellectual Property Rights
All copyrights, trademark rights, patent rights, and other intellectual property rights relating to the Software, including its structure, program code, algorithms, design, user interface, images, text, trademarks, logos, manuals, and related materials, belong exclusively to the Company or its legitimate right holders.
The User shall not remove, alter, or obscure any copyright notices, trademarks, logos, or proprietary rights legends displayed on or within the Software.
If the User provides feedback, suggestions, or improvement proposals regarding the Software, the Company may use such feedback free of charge on an anonymized basis for the purpose of improving products and services.
Section 10: Open-Source Software
The Software may contain open-source software or third-party components. Each component is subject to its respective license terms. In the event of a conflict between this Agreement and such component license terms, the applicable component license terms shall prevail solely with respect to that component.
Section 11: Updates and Specification Changes
The Company may provide updates, bug fixes, or new versions of the Software to maintain or improve its quality, security, compatibility, and functionality.
Updates may be or installed automatically. Upgrading to the latest version may be required to continue using certain features.
The Company reserves the right to modify, add, or discontinue features, design, supported websites, supported operating systems, output formats, technical specifications, or delivery methods of the Software when reasonably necessary. In cases involving changes in Third-Party Service specifications, statutory requirements, security concerns, or other compelling reasons, specific features may be suspended or modified without prior notice.
Section 12: Support Services
The Company provides technical support for the Software in accordance with the methods and scope separately established by the Company.
When requesting support, the User may be required to provide information necessary for troubleshooting, such as order numbers, registered email addresses, operating environment details, target websites, error messages, log files, and screenshots.
The support period and scope of service vary depending on the purchased license, product availability, and the nature of the issue. The Company is under no obligation to provide support regarding Third-Party Service accounts, pricing, content, access restrictions, or the Third-Party Services themselves.
Section 13: Personal Information and Usage Data
The Company may handle registration data, purchase history, device information, product versions, usage statistics, error logs, and other necessary information for license verification, product delivery, customer support, fraud prevention, quality improvement, and security assurance. Such handling shall be governed by the Company's "Privacy Policy".
When logging into Third-Party Services through the Software, any information transmitted to such services shall be governed by the terms of service and privacy policies of those respective third parties. The User shall manage their account credentials, passwords, devices, and saved Content at their own risk and responsibility.
Section 14: Termination
This Agreement takes effect upon the User's agreement hereto and remains in full force and effect until terminated in accordance with this Agreement or upon the expiration of the applicable license.
The User may terminate this Agreement at any time by ceasing all use of the Software and removing it entirely from all devices. The handling of prepaid fees shall be governed by the "Refund Policy" and applicable purchase terms.
If the User breaches this Agreement, fails to pay required fees, or if fraudulent payment or unauthorized license usage is confirmed, the Company may suspend or terminate the User's license in whole or in part.
Upon termination of this Agreement, the User shall immediately cease all use of the Software and delete all copies of the Software stored on their devices. Provisions concerning intellectual property rights, limitation of liability, governing law, and other provisions that by their nature ought to survive shall remain valid after termination.
Section 15: Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Software is provided on an "as is" and "as available" basis.
The Company disclaims all warranties, express or implied, including but not limited to that the Software will meet the User's specific purposes, operate without interruption, be compatible with all Third-Party Services or Content, be completely free of errors or defects, or demonstrate identical performance across all devices and environments.
cache speed, output image/audio quality, subtitles, audio tracks, analysis results, and savable Content are subject to variation depending on operating environments, network conditions, source Content, Third-Party Service specifications, and other external factors.
Nothing in this Article limits rights mandated by consumer protection laws or other mandatory statutory provisions.
Section 16: Limitation of Liability
Except in cases of intentional misconduct or gross negligence by the Company, or where liability cannot be limited under applicable law, the Company shall not be liable for any indirect, special, incidental, consequential, or punitive damages, loss of profits, loss of data, loss of business opportunity, or similar damages arising out of or in connection with the use of or inability to use the Software.
In any event where the Company is found liable for damages to the User, the total aggregate liability of the Company shall be strictly limited to the actual amount paid by the User to the Company for the applicable license in the 12 months immediately preceding the occurrence of the cause of action. For free trial versions, liability is limited to direct and ordinary damages to the extent permitted by law.
The limitations in this Article shall not apply to the extent they conflict with mandatory provisions of consumer contract laws or applicable legislation.
Section 17: Indemnification
If the Company, its officers, employees, affiliates, or contractors incur any loss, damage, expense, or third-party claims arising out of or related to the User's breach of this Agreement, unlawful use of Content, infringement of third-party rights, or unauthorized use of the Software, the User shall, to the extent permitted by applicable law, resolve such matters at their own risk and expense and fully indemnify and hold harmless the Company for all reasonable damages incurred.
Section 18: Export Controls and Sanctions
The User shall comply with all applicable export control laws, economic sanctions, and related regulations regarding the use, export, re-export, or transfer of the Software. The User shall not use or provide the Software to or for any country, region, individual, or entity subject to trade prohibitions or restrictions under applicable law.
Section 19: Amendments to Agreement
The Company reserves the right to amend this Agreement if required by law, product or service updates, security imperatives, or other reasonable grounds. In the event of material amendments, the Company will notify Users via the website, in-product notifications, email, or other appropriate means.
The amended Agreement shall take effect from the effective date specified by the Company. Continued use of the Software after the effective date shall constitute acceptance of the amended Agreement. Where required by law, explicit consent procedures will be conducted.
Section 20: Relationship to Other Terms
This Agreement governs the, installation, activation, and use of the Software. Subscription fees, auto-renewal, billing, and cancellations are governed by the "Subscription Terms of Service"; refunds are governed by the "Refund Policy"; and personal data handling is governed by the "Privacy Policy".
Purchased products, license terms, device limits, supported OS, and pricing shall be governed by the purchase page or order confirmation email. In the event of any conflict between documents, the terms specifying the subject matter in greater detail shall take precedence.
Section 21: Assignment
The User shall not assign, transfer, or pledge as collateral their contractual status or any rights or obligations under this Agreement to any third party without the prior written consent of the Company. The Company may transfer or assign its contractual status, rights, and obligations under this Agreement to an affiliate or successor entity in connection with a merger, business transfer, corporate reorganization, or other business necessity.
Section 22: Severability
If any provision of this Agreement is held invalid, illegal, or unenforceable by a court or competent authority, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be interpreted or modified to the minimum extent necessary to make it valid and enforceable while fulfilling its original intent to the maximum extent permitted by law.
Section 23: No Waiver
The failure of the Company to exercise or enforce any right under this Agreement shall not constitute a waiver of such right. A single waiver shall not be construed as a continuing waiver of the same or any other provision in the future.
Section 24: Entire Agreement
This Agreement, together with all policies referenced herein, the purchase page, and the order confirmation email, constitutes the entire agreement between the User and the Company regarding the licensing of the Software. Any oral or written statements, advertisements, or representations not expressly incorporated herein shall not form part of this Agreement unless explicitly guaranteed in writing by the Company.
